About the company
EAAA India Alternatives Limited was incorporated on 14 May 2008 at Mumbai, Maharashtra, as Edelweiss Alternative Asset Advisors Limited and was renamed in 2024. It is part of the Edelweiss group and describes itself as one of India’s leading alternatives platforms, with more than 17 years of experience.
It runs India-focused funds in two areas: Real Assets (infrastructure yield, commercial real estate yield and energy transition, including two infrastructure investment trusts) and Private Credit (performing credit, special situations and real estate credit). Assets under management were ₹95,345 cr and fee-paying assets under management ₹48,623 cr at 30 June 2026. It earns management fees, carried interest and a performance-linked Variable Additional Return, and its wholly owned subsidiary Sekura India Management operates portfolio assets. It served 11,009 clients, of whom 1,493 are repeat clients.
Financial snapshot (year ended 31 March 2026)
| Revenue from operations | ₹870 cr (includes Variable Additional Return of ₹290 cr, largely not yet received in cash) |
|---|---|
| Profit after tax | ₹265 cr (restated, after a ₹9.88 cr one-time labour code charge) |
| EBITDA margin | 36% (EBITDA of ₹313 cr, excluding other income, divided by revenue from operations) |
| Debt to equity | 0.41 times (total borrowings excluding leases divided by net worth at 31 March 2026) |
FY26 means the financial year ended 31 March 2026. The profit for the April to June 2026 quarter was ₹81 cr.
Valuation versus peers
At the upper band of ₹1,665 the market capitalisation is about ₹10,765 cr (6,46,55,246 shares, unchanged because the issue is a pure Offer for Sale). That is about 40.6 times FY26 profit after tax of ₹265 cr, or about 41.3 times on the diluted earnings per share of ₹40.36. The median price to earnings ratio of the nine listed peers named in the RHP is 33.76 times (range 20.24 to 90.69 times; average 39.89 times). The peers are asset managers and wealth managers such as HDFC Asset Management, Nippon Life India Asset Management, UTI Asset Management and Nuvama Wealth. The RHP itself says there is no directly comparable listed Indian peer.
Strengths
A scaled player in India’s real assets and private credit market, with flagship funds in their third or fourth series. Fee-paying assets under management grew at a 23.43% compound annual rate over FY23 to FY26 to ₹44,710 cr. Repeat clients hold 77% of assets under management and institutions 49.32%, and the Sekura operating platform supports portfolio companies. Brokers note the scarcity of listed alternatives platforms, a high return on net worth of about 26 to 27% and fund-raising visibility, including ₹20,380 cr raised in the April to June 2026 quarter.
Key risks
Variable Additional Return was 30.1% of FY26 total income and is accounted for before cash is received: only ₹397.7 cr of the ₹684.7 cr recognised from FY24 to the April to June 2026 quarter has been realised. Fund valuations are subjective and there is no directly comparable listed peer. Group companies have faced regulatory action (Reserve Bank of India orders on ECL Finance and the asset reconstruction company, now lifted, and a pending SEBI settlement for Edelweiss Financial Services), and 33.8% of assets under management is from foreign clients. Brokers note performance-linked, partly unrealised earnings, a cost-to-income ratio that rose to 68.5% in the April to June 2026 quarter, and that the issue brings no fresh capital.
Use of proceeds
There is no fresh issue, so the company receives no proceeds. The stated objects are to carry out the Offer for Sale and to obtain the benefits of listing. All sale proceeds go to the selling promoter, Edelweiss Securities and Investments Private Limited.
Anchor investors
The company raised ₹360 cr from anchor investors on 23 Oct 2026 by allotting 21.62 lakh shares at ₹1,665 per share, the upper end of the price band. Ten domestic mutual funds took 14.14 lakh shares (about ₹235 cr), including HDFC AMC, SBI, ICICI Prudential, Nippon Life India, Kotak Mahindra, Abakkus, HSBC and Bandhan. The remaining 7.48 lakh shares (about ₹125 cr) went to other institutions, including international investors such as Government Pension Fund Global, Schroder International, Goldman Sachs, BNP Paribas Financial Markets and Hornbill Capital Advisors; the split of this part between foreign portfolio investors, insurers and others has not been published. Under the SEBI rules, half of the anchor shares are locked in for 30 days and the rest for 90 days from the date of allotment, so with allotment expected on 29 Oct 2026 the lock-ins would end around 28 Nov 2026 and 27 Jan 2027 (expected dates).
